Each depository institution that offers overdraft coverage for accounts must disclose overdraft coverage fees and certain related information. A depository institution must provide certain other disclosures regarding its overdraft protection program, including prompt notification of the account's overdraft status. The bill limits the number of overdraft fees a consumer may be charged each month and year, and provides that such fees must be reasonable. The bill prohibits an overdraft coverage fee if the overdraft results solely from a debit hold amount that exceeds the actual dollar amount of the transaction. The bill amends the Securities Exchange Act of 1934 to revise the conditions upon which the Securities and Exchange Commission (SEC) shall exempt securities issued in crowdfunding transactions from registration requirements. Under current law, holders of crowdfunded shares do not count toward the shareholder threshold beyond which an issuer is required to register its securities with the SEC, provided that the issuer: (1) is current in its annual reporting obligations, (2) retains the services of a registered transfer agent, and (3) has less than $25 million in assets. The bill maintains this exemption but alters the conditions upon which it applies. Furthermore, for such requirements to be waived, the institution must consider and verify the debt, income, and financial resources of the consumer. The bill also provides for circumstances in which such requirements shall be waived with respect to a loan that is transferred: (1) by reason of bankruptcy or failure of the originating institution, (2) to a similar institution, (3) in the event of a merger, or (4) to a wholly owned subsidiary of the institution. The FRB is directed to increase, from $1 billion to $5 billion, the consolidated asset threshold (i.e., permissible debt level) for a bank holding company or savings and loan holding company that: (1) is not engaged in significant nonbanking activities; (2) does not conduct significant off-balance-sheet activities; and (3) does not have a material amount of debt or equity securities, other than trust-preferred securities, outstanding. The bill also revises provisions relating to 7-year renewable fraud alerts in cases of identity theft. The bill establishes a credit freeze process. A consumer reporting agency must place a free credit freeze on the consumer's file upon a consumer's request, prohibiting a consumer reporting agency from releasing any credit information without the consumer's permission. Consumer reporting agencies must provide procedures for temporarily and permanently lifting the freeze at no charge to the consumer. Consumers are allowed a free credit report when requesting a credit freeze. While the file is subject to a freeze, a consumer reporting agency is prohibited from including the consumer in lists provided to third parties for credit or insurance offers. A consumer reporting agency must provide on the Internet policies and procedures for consumers to: (1) place, temporarily lift, or fully remove a credit freeze; and (2) make required statements for fraud alerts or credit freezes. Specifically, it authorizes a court to award: (1) injunctive relief to require compliance with that Act, and (2) costs and fees to the prevailing party in any successful action for injunctive relief. In disputes regarding information contained in a consumer's credit report, the consumer reporting agency must provide all documentation provided by the consumer to the furnisher of the disputed information. The furnisher must review and consider the documentation. The Consumer Financial Protection Bureau (CFPB) must issue rules to ensure accuracy of consumer reports issued by consumer reporting agencies. This bill adds negligence and willful violations of the Act as a basis for civil action and penalty by the Federal Trade Commission. A consumer reporting agency: (1) must give a consumer a credit score free of charge if one is requested in connection with a free annual consumer report, and (2) must provide free disclosures to any consumer who has received either a notice of adverse action or an offer of credit on materially less favorable terms. Upon request by a consumer under age 16 or the consumer's legal guardian or custodian, a consumer reporting agency may not provide anyone with the minor's consumer report, nor add information to the file without permission.
